# Reforma Tributária: como as empresas devem se preparar para o futuro do sistema fiscal brasileiro?

 A sanção presidencial da Lei Complementar nº 214/2025 trouxe a reforma tributária para o centro das atenções empresariais no Brasil. Apesar de ainda estar sujeita a deliberações no Congresso Nacional sobre vetos presidenciais, o início da transição em 2026 exige que as empresas se preparem para mudanças que afetarão profundamente sua estrutura operacional e financeira. O impacto será direto em áreas como logística, compliance, precificação e gestão de contratos, demandando um plano estratégico robusto para garantir a adaptação às novas regras.

 A reforma propõe a substituição de tributos como PIS, Cofins, ICMS, IPI e ISS por dois novos impostos: o IBS (Imposto sobre Bens e Serviços) e a CBS (Contribuição sobre Bens e Serviços). Além disso, o Imposto Seletivo (IS), destinado a produtos prejudiciais à saúde e ao meio ambiente, também será implementado. Essa transformação promete simplificar o sistema tributário, mas também traz desafios imediatos e estruturais para empresas de todos os setores.

 Um dos pontos cruciais da reforma é o impacto sobre a logística empresarial. Com a nova tributação baseada no destino, as empresas precisarão rever a formação de preços que, agora, devem levar em consideração as alíquotas aplicáveis no local de consumo, e não mais na origem. Essa mudança implica na necessidade de análises detalhadas das regiões de distribuição, revisões na estratégia logística e maior atenção ao impacto tributário sobre margens de lucro e competitividade.

 Outro ponto crucial é a gestão da relação com fornecedores, considerando os impactos que a Reforma Tributária trará para o fluxo de caixa e a recuperação de créditos. [**Fornecedores**](https://mercadocomum.com/fornecedores/) enquadrados no Simples Nacional e MEI, por exemplo, não geram créditos de IBS e CBS, o que exige das empresas uma análise estratégica dessas parcerias para mitigar possíveis perdas financeiras.

 Além disso, a nova regra que condiciona o aproveitamento de créditos ao efetivo pagamento do tributo pelo fornecedor requer monitoramento rigoroso da conformidade fiscal de toda a cadeia de suprimentos. Independentemente do regime tributário, é essencial assegurar que os fornecedores estejam em dia com suas obrigações fiscais, garantindo a integridade das operações e o pleno aproveitamento dos créditos tributários previstos na nova legislação.

 Outro desafio é a revisão de contratos. A nova regra de tributação “por fora”, associada à não cumulatividade, muda a forma como tributos são repassados e creditados. Isso exige que as empresas revisem cláusulas contratuais com clientes e fornecedores, ajustando valores e condições para refletir as novas alíquotas e a possibilidade de aproveitamento de créditos tributários. Renegociar contratos de longo prazo pode parecer trabalhoso, mas é uma medida essencial para evitar perdas financeiras e fortalecer as relações comerciais.

 A transição também demanda adequações tecnológicas significativas. O governo já anunciou alterações nos leiautes da Nota Fiscal de Serviço Eletrônica para incluir o IBS e CBS, com início em 2026. Assim, a atualização de sistemas de ERP é urgente, bem como o treinamento das equipes para operar os novos processos de cálculo tributário, conciliação financeira e emissão de notas fiscais.

 O planejamento financeiro das empresas deve ser reestruturado para absorver o impacto do aumento de desembolsos nas aquisições, esperado já para o início de 2027. Esse ajuste exige atenção redobrada ao capital de giro, com a adoção de estratégias para assegurar recursos suficientes, como a obtenção de linhas de crédito mais acessíveis e a revisão das reservas financeiras. Além disso, é indispensável realizar simulações dos impactos tributários pós-reforma, contemplando cenários com diferentes alíquotas e variáveis operacionais. Embora o governo estime uma alíquota média de 28%, especialistas alertam para a possibilidade de esse índice chegar a 30%, reforçando a importância de projeções financeiras precisas para sustentar as operações e proteger a rentabilidade das empresas.

 A fase de transição, que será escalonada até 2033, traz um desafio adicional: a convivência dos modelos antigo e novo. As empresas precisarão de um plano de ação detalhado para cada ano da transição, garantindo que processos operacionais, sistemas e estratégias tributárias estejam alinhados às exigências de cada etapa.

 Por fim, é imprescindível acompanhar de perto as regulamentações complementares ainda em desenvolvimento. A criação do Comitê Gestor do IBS e a definição de alíquotas do Imposto Seletivo são apenas algumas das questões pendentes. Empresas que se mantiverem informadas e ágeis na adaptação às novas regras estarão mais bem posicionadas para aproveitar os benefícios da reforma, como a redução da burocracia e a simplificação tributária.

 A Reforma Tributária é uma realidade que exige preparação imediata e estratégica. Apesar dos desafios, ela representa uma oportunidade para modernizar processos, otimizar custos e melhorar a competitividade no mercado. Ao agir agora, as empresas não apenas minimizam riscos, mas também garantem sua resiliência em um cenário fiscal transformador.
